6. INDEMNIFICATION

Goognu UAE reserves the right to participate in its own defence, including appointing its own legal representation at its own cost. Any settlement involving us must be pre-approved in writing by our legal team.

This indemnity remains effective even after your use of the website, services, or courses has ended.

7. AGREEMENT TO BE BOUND

By using the Goognu UAE website, accessing any of its content, or purchasing any products or courses offered through the platform, you confirm that you have read, understood, and agreed to be legally bound by this Terms of Service Agreement. In the event that such force majeure situations arise, Goognu UAE shall make reasonable efforts to resume services at the earliest possible time. However, no compensation or liability shall be owed for any inconvenience or loss caused during the period of disruption.

8.2 Entire Agreement

This document constitutes the full and final agreement between you and Goognu UAE regarding your use of the website and related services. It supersedes all prior or contemporaneous communications, whether oral or written. No oral statement or representation shall alter the interpretation of this written Agreement.

8.3 Effect of Waiver

Should Goognu UAE choose not to enforce any provision or condition within this Agreement, it does not imply a waiver of that provision or any other right. A waiver is only valid if expressly stated in writing by authorised representatives of Goognu UAE. Even if any section of this Agreement is found invalid by a court, the remaining clauses shall remain in full force and effect.

8.4 Governing Law and Jurisdiction

This Agreement is governed by and shall be construed in accordance with the applicable laws of the United Arab Emirates. You agree that any disputes arising under this Agreement or in relation to the website, products, or courses will be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, United Arab Emirates. Both parties expressly waive any objections to jurisdiction or venue.

You also waive your right to demand a jury trial or engage in collective legal proceedings such as class actions. Any legal action must be pursued individually.

8.5 Statute of Limitation

You agree that any claim, complaint, or legal action relating to your use of the website or the products or services offered must be filed within one (1) year from the date the incident occurred. Claims raised after this period will be permanently barred, to the maximum extent permitted by UAE law.

8.6 Waiver of Class Action Rights

By accepting this Agreement, you waive any right to bring claims collectively. Any action you pursue must be initiated solely on your own behalf and not as part of a class or group claim. You may not represent other users or include their grievances in your legal proceedings. This ensures disputes are resolved fairly and individually.

9. TERMINATION

9.1 Termination by Goognu UAE

Goognu Data Services (UAE) Ltd. reserves the right, at its sole discretion, to suspend or permanently terminate your access to the website, services, or any course offerings if you are found to be in violation of this Agreement or any applicable UAE law. Such termination may occur without prior notice and may include cancellation of your orders, enrolments, or access to digital learning material.

In cases of termination, we reserve the right to use technological, legal, or operational measures to restrict your access. We are not liable for any loss of data, content, or progress resulting from such termination.

Please be aware that all obligations relating to indemnification, limitation of liability, and intellectual property rights shall continue to remain enforceable even after termination of your access.

9.2 International Access and Use

Goognu UAE makes no guarantee that its services, content, or courses are appropriate for users outside the United Arab Emirates. If you choose to access the platform from another country, you do so of your own initiative and are fully responsible for compliance with local laws, including import/export regulations and data protection requirements.
Any risk or consequence resulting from accessing our content outside UAE is your sole responsibility.

9.3 Assignment of Rights

You may not assign or transfer your rights or responsibilities under this Agreement to another person or entity without prior written consent from Goognu UAE. However, we reserve the right to transfer or assign our rights and obligations to any related company, business partner, or legal successor without requiring your prior approval.

10. GOVERNING LAW

This Agreement, as well as any action, dispute, or claim arising from it, shall be governed and interpreted in line with the laws of the United Arab Emirates, specifically the legal jurisdiction of the Dubai Courts.

In cases involving privacy breaches, misuse of data, or violations of information security, all applicable UAE Cybercrime Laws and Data Protection Regulations shall take precedence and be strictly enforced.

You agree that any claim or cause of action arising from the use of the website, courses, or services must be resolved solely in the Dubai courts, and no other jurisdiction shall apply. All proceedings must be conducted in an individual capacity; no collective or group lawsuits will be entertained under this Agreement.
